Orders & Authority: All orders are subject to these Terms.
Pricing & VAT: Prices are subject to change without notice. Goods are invoiced at prices ruling on the date of delivery. All prices exclude VAT.
Payment & Credit: Payment is due in full within 30 days of invoice date (time being of the essence). The Company reserves the right to withdraw credit, reduce credit limits, suspend deliveries, or require pro forma payment at any time without liability for resulting loss or delay.
Overdue Accounts: The Company reserves the right to charge interest and recovery costs under the Late Payment of Commercial Debts (Interest) Act 1998. The Customer shall be responsible for all reasonable legal fees and third-party collection costs incurred in recovering overdue debts.
Title & Risk: Risk passes on delivery. Legal and beneficial title remains with the Company until all sums owed by the Customer on any account are paid in full. Until title passes, goods must be stored safely and identified as Company property. The Customer grants the Company an irrevocable licence to enter premises to recover unpaid goods.
Shortages, Damages & Returns:
Shortages, transit damages, or incorrect supplies must be notified in writing within 3 working days of delivery, failing which goods shall be deemed accepted.
Returns require prior written authorisation, quoting the invoice number.
To qualify for credit, returns must be unopened, undamaged, with seals intact, and in resaleable condition. Goods with price stickers, adhesive residue, or damaged packaging may be rejected.
Receipt of returned goods does not guarantee credit; final valuation rests with the Company.
Delays: Delivery dates are estimates only. The Company is not liable for delays or failures beyond its reasonable control.
No Set-Off: Invoices must be paid in full without deduction, withholding, set-off, or counterclaim.
Errors: The Company may correct clerical, pricing, or administrative errors on any document at any time.
Law & Jurisdiction: Governed by English law. The Customer submits to the jurisdiction of the English courts. The Company may bring proceedings in any court of competent jurisdiction, including Scotland and Northern Ireland.
